Ku\u015faklara aktar\u0131lma oran\u0131n\u0131n y\u00fczde 45 oldu\u011funu, bu oran\u0131n \u00fclkemizde y\u00fczde 4 seviyesinde bulundu\u011funu s\u00f6yledi.<\/p>\n<p>T\u00fcrkiye ekonomisinin standard\u0131 ve istikrar\u0131 i\u00e7in \u00e7ok \u00f6nemli olan bu konuyu neden ve sonu\u00e7 ili\u015fkileri ile irdelemesinin gereklili\u011fine ifade eden G\u00f6khan T\u00fcrke\u015f \u00d6ngel, \u201cBin bir risk alarak ve bin bir zorlukla kurulan \u015firketlerin 2. Ve 3. Ku\u015faklarca hara\u00e7 mezat sat\u0131lmas\u0131 ve faaliyetlerine son verilmesi h\u00fcz\u00fcnl\u00fcd\u00fcr. \u00dcstelik her \u015firket kapan\u0131\u015f\u0131, o \u015firketlerin y\u0131llar i\u00e7inde olu\u015fturdu\u011fu bilgi, birikim ve \u015firket k\u00fclt\u00fcr\u00fcn\u00fcn de yok olmas\u0131 demektir. \u015eirketlerin plans\u0131z sonlanmas\u0131, ortaklar ve hissedarlar aras\u0131 ili\u015fkileri de olumsuz etkilemektedir\u201d dedi.<\/p>\n<p>\u201c\u00c7\u00f6z\u00fcm \u015firket anayasas\u0131\u201d<\/p>\n<p>Geli\u015fmi\u015f d\u00fcnya,  ister \u015firket, ister \u015fah\u0131s i\u015ftiraklerinde ve hatta aile de, gelecek ku\u015faklara problem aktarmama ad\u0131na \u2018\u015eirket Anayasas\u0131\u2019 veya \u2018Aile Anayasas\u0131\u2019 olu\u015fturuldu\u011funu ve bu sorunun b\u00fcy\u00fck \u00f6l\u00e7\u00fcde \u00f6nlenebildi\u011fini s\u00f6yleyen \u00d6ngel, \u201c\u015eirket anayasas\u0131 veya aile anayasas\u0131, o \u015firketin veya o alenin k\u00fclt\u00fcrel \u00f6zelliklerini ve genetik kodlar\u0131n\u0131 ta\u015f\u0131maktad\u0131r. Onun i\u00e7in de her \u015firket ve aile anayasas\u0131 o \u015firket veya o aileye \u00f6zel haz\u0131rlanmaktad\u0131r. Kurucular\u0131n, h\u00fck\u00fcmlerini pe\u015finen kabul etti\u011fi bu anayasa, \u015firketlerin gelecekte ki yol haritas\u0131n\u0131 belirleyen yaz\u0131l\u0131 bir metindir. Ayn\u0131 zamanda \u015firketin ve ailenin yapaca\u011f\u0131 i\u015ftiraklere, standart ve sistem getirmektedir. \u00d6rneklendirmek gerekir ise, \u015firket anayasas\u0131, o \u015firketin sa\u011fl\u0131k konusun da uzmanla\u015fmas\u0131n\u0131 \u00f6ng\u00f6rm\u00fc\u015f ise gelecek ku\u015faklar\u0131n yat\u0131r\u0131mlar\u0131n\u0131 sa\u011fl\u0131k alan\u0131nda yapmas\u0131 zorunludur. \u015eirket anayasalar\u0131 ise; Anayasa, \u015eirketin kendi hayatiyetini korumas\u0131 ve hissedarlar\u0131n \u00e7\u0131kar\u0131n\u0131 korumas\u0131 ana ilkesi ile olu\u015fturulur. Planlama ve yat\u0131r\u0131m anayasa da belirlendi\u011fi \u015fekli ile devam eder. E\u011fer \u015firket hissedarlar\u0131n\u0131n biri, bir ka\u00e7\u0131 veya tamam\u0131 var olan i\u015fi devam ettirmek istemeseler bile, \u015firketin devaml\u0131l\u0131\u011f\u0131n\u0131 as\u0131l k\u0131larak; \u015firketin profesyonellerce y\u00f6netilmesine, \u015firketin halka arz\u0131na veya \u015firketin faaliyet konusu ile birlikte sat\u0131\u015f\u0131na anayasa karar verir. Hatta \u015firketin ya\u015fam\u0131n\u0131 s\u00fcrd\u00fcrmesi olanaks\u0131z hale gelmi\u015f ise, son \u00e7are olarak kapan\u0131\u015fa karar verir ve hissenin nas\u0131l payla\u015faca\u011f\u0131n\u0131n da ayr\u0131nt\u0131s\u0131n\u0131 anlat\u0131r.
